EPE MAKES NO WARRANTY, EXPRESS OR IMPLIED, AND HEREBY DISCLAIMS ANY WARRANTY OR REPRESENTATION, THAT THE EXAMPLE HOST CUSTOMER CERTIFICATION FORM, EXAMPLE ALL BILLS PAID AFFIDAVIT, EXAMPLE HOST CUSTOMER AGREEMENT FORM (I) COMPLIES WITH PUCT REQUIREMENTS, (II) COMPLIES WITH OR IS OTHERWISE ENFORCEABLE UNDER TEXAS LAW, OR (III) IS OF MERCHANT ABLE QUALITY OR CHARACTER OR FIT FOR ANY PARTICULAR PURPOSE. EACH PROJECT SPONSOR IS STRONGLY ENCOURAGED TO OBTAIN INDEPENDENT LEGAL REVIEW OF THE FORM PRIOR TO USE.
PROJECT SPONSOR IS SOLELY RESPONSIBLE AND LIABLE FOR THE DEVELOPMENT OF THE HOST CUSTOMER AGREEMENT, CUSTOMER CERTIFICATION AND ALL BILLS PAID AFFIDAVIT DOCUMENTS. IN DEVELOPING THE HOST CUSTOMER AGREEMENT, CUSTOMER CERTIFICATION AND ALL BILLS PAID AFFIDAVIT DOCUMENTS, PROJECT SPONSOR MAY WISH TO REFER TO THE �EXAMPLE HCA FORM�, �EXAMPLE CUSTOMER CERTIFICATION FORM� AND �EXAMPLE ALL BILLS PAID AFFIDAVIT� THAT CAN BE DOWNLOADED FROM THE EPE SOP WEB SITE, HOWEVER, IN DOING SO, PROJECT SPONSOR SHALL ACKNOWLEDGE THAT (I) THE PREPARATION OF AND PROPER INCLUSION OF ALL REQUIRED PROVISIONS IN THE HOST CUSTOMER AGREEMENT, CUSTOMER CERTIFICATION AND ALL BILLS PAID AFFIDAVIT DOCUMENTS ARE THE SOLE RESPONSIBILITY OF PROJECT SPONSOR AND IS NOT THE RESPONSIBILITY OF EPE, AND (II) THE PROJECT SPONSOR SHALL INDEMNIFY AND HOLD HARMLESS EPE FROM ANY CLAIMS OR CAUSES OF ACTION ARISING OUT OF THE PREPARATION, ENFORCEMENT, OR INTERPRETATION OF THE HOST CUSTOMER AGREEMENT, CUSTOMER CERTIFICATION AND ALL BILLS PAID AFFIDAVIT.
Deemed Savings Calculation Helper
EPE is making available a downloadable deemed savings helper spreadsheet. The spreadsheet is in Microsoft Excel TM format. If the file does not open in your browser window, use the save file to disk option and open it within the application. In order to use the spreadsheet, users must accept the following license agreement:

THIS IS A CONTRACT. PLEASE READ IT CAREFULLY. USE OF THIS SOFTWARE IS NOT REQUIRED FOR PARTICIPATION IN THE STANDARD OFFER PROGRAM. BY USING THE SOFTWARE CONTAINED HEREIN YOU ARE INDICATING YOUR ACCEPTANCE OF ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU DO NOT AGREE WITH THE TERMS AND CONDITIONS OF THIS AGREEMENT, PLEASE DECLINE WHERE INSTRUCTED, AND YOU WILL NOT BE ABLE TO USE THE SOFTWARE.
This EPE End User License Agreement ("Agreement") sets forth the terms and conditions under which you are licensed to use the Software. Software means (A) all of the contents of any disk(s), CD-ROM(s) or other media with which this Agreement is provided, including but not limited to (i) EPE or third party software; and (ii) related explanatory written materials ("Documentation").
EPE grants to you a nonexclusive license to use the Software, provided that you agree to the following:
DISCLAIMER OF WARRANTIES. You expressly acknowledge and agree that use of the accompanying software is at your sole risk. The EPE software is provided "AS IS" and without warranty of any kind and EPE and EPE's suppliers EXPRESSLY DISCLAIM ALL WARRANTIES AND/OR CONDITIONS, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES AND/OR CONDITIONS OF MERCHANTABILITY OR SATISFACTORY QUALITY AND FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT OF THIRD PARTY RIGHTS. EPE DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE EPE SOFTWARE WILL MEET YOUR REQUIREMENTS, OR THAT THE OPERATION OF THE EPE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, OR AGAINST DEFECTS IN THE USE OF THE EPE SOFTWARE OR RELATED DOCUMENTATION IN TERMS OF THEIR CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY EPE OR AN EPE AUTHORIZED REPRESENATATIVE, OR AN EPE SUPPLIER SHALL CREATE A WARRANTY OR IN ANY WAY DECREASE THE SCOPE OF THIS DISCLAIMER. SHOULD THE EPE SOFTWARE PROVE DEFECTIVE, YOU (AND NOT EPE OR AN EPE AUTHORIZED REPRESENTATIVE OR SUPPLIER) ASSUME THE ENTIRE COST OF NECESSARY CORRECTIONS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.
LIMITATION OF LIABILITY. IN NO EVENT WILL EPE OR ITS SUPPLIERS BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, INDIRECT, INCIDENTAL, PUNITIVE OR SPECIAL DAMAGES, INCLUDING ANY LOST PROFITS OR LOST SAVINGS, EVEN IF A REPRESENTATIVE OF EPE OR ANY SUPPLIER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY THIRD PARTY. SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
GOVERNING LAW AND GENERAL PROVISIONS. This Agreement will be governed by the laws in force in the State of Texas. This Agreement will not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded. If any part of this Agreement is found void and unenforceable, it will not affect the validity of the balance of the Agreement, which shall remain valid and enforceable according to its terms. You agree that the Software will not be shipped, transferred or exported into any country or used in any manner prohibited by the United States Export Administration Act or any other export laws, restrictions or regulations. This Agreement shall automatically terminate upon failure by you to comply with its terms, in which event you must destroy all copies of the Software. This Agreement may only be modified in writing signed by an authorized representative of EPE, although EPE may vary the terms of this Agreement in connection with the licensing of any Updates to you.
